Terms of service
Last updated: 9 October 2026.
These terms apply when you download, install, trial or activate a licence for SPSync, or otherwise use a website or service operated by EBORACUM IT LTD, a company registered in England and Wales (company number 17237831), registered office 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom ("we", "us", "EBORACUM IT LTD"). If you are using SPSync on behalf of an organisation, "you" means that organisation and you confirm you have authority to accept these terms for it.
What SPSync is
SPSync reads SharePoint lists you choose through Microsoft Graph and replicates them into a database you own and control. It is available as a desktop app and a command-line tool. SPSync in your Azure, a managed application for your own subscription, is deployed with you on a call while the Marketplace listing is prepared. SPSync, including the engine, the server, the desktop and web UI, and the managed application, is proprietary and licensed, not sold, to you.
The licence
A paid licence is per installation (activated on a specific machine, or per deployment for the managed application) and per target-database family, on an annual term, as described on how licensing works. We do not publish prices; a licence is agreed by quote after a call, and the specific terms of that quote (targets, machine count, term length, price) form part of your agreement with us alongside these general terms. Within the scope your licence covers, we grant you a non-exclusive, non-transferable right to run SPSync; you may not sublicense, resell, reverse-engineer the proprietary parts, or use it beyond the machines, targets or term your licence names. We may deactivate a licence that is used in breach of these terms, after giving you a reasonable opportunity to fix the breach where practical.
Your data and your responsibilities
You are responsible for having the right to connect SPSync to your SharePoint tenant and to the destination database you choose, for the security and availability of that destination, and for how you use the replicated data once it leaves SharePoint. See our privacy notice for where data actually goes in each edition, and our data processing agreement for the small number of cases where we process SharePoint content on your behalf.
Payment
Fees are as quoted. You buy by purchase order or against our invoice; invoices are payable on the terms stated on the quote, exclusive of any tax we are required to add. We issue your licence key once payment is received.
No warranty, limitation of liability
SPSync is provided "as is". To the fullest extent the law allows, we exclude all warranties, express or implied, about SPSync's fitness for a particular purpose or uninterrupted operation, and we are not liable for indirect, incidental or consequential loss, or loss of data, profit or business, arising from your use of SPSync. Nothing in these terms excludes or limits liability that cannot be excluded or limited under the law of England and Wales, including for death, personal injury, or fraud.
Changes
We may update these terms as SPSync changes; the "last updated" date above reflects the current version. A live licence's own quoted terms are not changed by an update to this page unless we agree that with you separately.
Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
